These Terms of Service ("Terms") govern your access to and use of the websites, mobile applications, and services (collectively, the "Services") provided by Zaifay OÜ ("Zaifay", "we", "us", or "our"), a company registered in the Republic of Estonia.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Services Overview

Zaifay OÜ operates the following services:

• GoEven: A mobile application for group expense tracking, bill splitting, debt settlement, and group communication, available on iOS and Android platforms
• zaifay.com: Our corporate website providing company information, contact details, and access to our services
• Retail services: E-commerce and retail product sales through our own channels and third-party marketplaces

2. Account Registration

To use certain features of our Services, you may need to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access to your account

You must be at least 16 years of age to create an account and use our Services.

3. Acceptable Use

When using our Services, you agree not to:

• Violate any applicable local, national, or international law or regulation
• Infringe upon the intellectual property rights of others
• Transmit any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Attempt to gain unauthorized access to our systems, networks, or other users' accounts
• Use automated systems (bots, scrapers) to access or collect data from our Services without permission
• Interfere with or disrupt the operation of our Services
• Create false or misleading expense entries or manipulate financial data within GoEven to defraud other users

4. Intellectual Property

All content, features, functionality, design, graphics, trademarks, logos, and software associated with our Services are owned by Zaifay OÜ or its licensors and are protected by international intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, or otherwise exploit our intellectual property without prior written consent from Zaifay OÜ.

5. User Content

You retain ownership of the content you create and upload through our Services (such as expense descriptions, group messages, and uploaded images). By using our Services, you grant us a limited licence to process, store, and display your content as necessary to provide the Services.

You are responsible for ensuring that your content does not violate any third-party rights or applicable laws.

6. GoEven — Expense Tracking & Settlements

GoEven is a tool for tracking shared expenses and calculating settlement amounts between users. Important disclaimers:

• GoEven is an expense tracking and calculation tool, not a financial institution, bank, or payment processor
• GoEven does not process, hold, or transfer money between users. Actual payments must be made by users through their own means (bank transfer, cash, payment apps, etc.)
• While we strive for accuracy, you are responsible for verifying all expense and settlement calculations
• GoEven should not be used as your sole record-keeping system for legally binding financial obligations

7. Retail Products

For retail product purchases:

• Product descriptions and images are provided for informational purposes and may vary slightly from actual products
• Prices are subject to change without notice and may vary by sales channel
• All products comply with applicable EU safety standards and regulations
• Returns and refunds are handled in accordance with EU consumer protection laws and the specific return policies of the sales channel through which the purchase was made

8. Pricing and Payment

GoEven is currently offered free of charge. We reserve the right to introduce premium features or subscription plans in the future. Any changes to pricing will be communicated in advance and will not affect your existing free access to core features without your explicit consent.

For retail purchases, all prices are displayed inclusive of applicable VAT where required by law. Payment is processed through secure third-party payment providers.

9. Termination

You may terminate your account at any time by using the account deletion feature within our apps or by contacting us at sales@zaifay.com.

We reserve the right to suspend or terminate your access to our Services if you violate these Terms, engage in fraudulent activity, or if we reasonably believe that continued access poses a risk to other users or our systems.

10. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our Services will be uninterrupted, error-free, or completely secure.

To the maximum extent permitted by applicable law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Zaifay OÜ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of our Services.

Our total liability for any claims arising from your use of our Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or €100, whichever is greater.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.

12. Indemnification

You agree to indemnify and hold harmless Zaifay OÜ, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of your use of our Services or violation of these Terms.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of our Services shall be subject to the exclusive jurisdiction of the courts of Harju County, Estonia, unless EU consumer protection regulations provide for alternative dispute resolution or jurisdiction in your country of residence.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through our Services, via email, or by posting a prominent notice on our website. Your continued use of our Services after such changes constitutes acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
